Please read these Terms of Service ("Terms") carefully before using the Showingly platform. By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If using on behalf of an organization, you represent you have authority to bind that organization.

2. Description of Service

Showingly provides a cloud-based real estate brokerage management platform including CRM, transaction management, commission tracking, client portals, marketing automation, and analytics on a subscription basis.

3. Accounts

You must provide accurate, complete registration information.
You are responsible for maintaining the security of your credentials.
You are responsible for all activity under your account.
You must notify us immediately of any unauthorized access.
You must be at least 18 years old to use the Service.

4. Subscription and Payment

Billed monthly or annually, in advance.
All fees are non-refundable except as required by law.
We reserve the right to change pricing with 30 days' notice.
Failure to pay may result in suspension or termination.

5. Acceptable Use

You agree not to use the Service to:

Violate any law or regulation
Infringe third-party intellectual property rights
Attempt unauthorized access to the Service or its systems
Transmit spam, malware, or harmful content
Reverse engineer or attempt to extract source code
Resell or sublicense access without written consent

6. Your Data

You retain ownership of your Customer Data. You grant us a limited license to process it solely to provide the Service, handled per our Privacy Policy.

7. Intellectual Property

The Service and all related software, design, and content created by us are owned by the Company and protected by applicable intellectual property laws.

8. Warranties and Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless the Company from claims arising from your use of the Service, your Customer Data, or violation of these Terms.

11. Termination

Either party may terminate at any time. We may suspend access immediately for violations. Upon termination we will provide reasonable opportunity to export your data.

12. Governing Law

These Terms are governed by the laws of the State of Texas. Disputes shall be resolved in state or federal courts in Texas.

13. Changes to Terms

We may modify these Terms at any time with at least 30 days' notice for material changes. Continued use constitutes acceptance.
